Terms of Service

Welcome to MintCare. These Terms of Service ("Terms") govern your access to and use of the MintCare platform, including our web application, mobile application, WhatsApp bot, and all related services (collectively, the "Services"), operated by Kenbright Holdings Limited ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services. Please also review our Privacy Policy, which describes how we collect and use your information.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the MintCare platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We may update these Terms from time to time. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Description of Service

MintCare is a digital health wallet platform that provides the following services to users in Kenya and Uganda:

  • Digital Health Wallet: A personal wallet for managing healthcare funds, deposits, and payments in Kenya Shillings (KES) and Uganda Shillings (UGX).
  • Medication Tracking: Tools for recording chronic conditions, medication schedules, dose confirmations, and adherence tracking.
  • Cost Estimation: Hospital cost estimation tools with SHA coverage calculations, benchmark pricing data, and community-sourced price reports.
  • Insurance Linking: Facilitating connections between users and insurance providers for coverage verification, claims coordination, and policy management.
  • MMF Investments: Access to Money Market Fund investments (including Britam MMF at approximately 11.5% yield) through our partnership with licensed fund managers.
  • WhatsApp Health Companion: An opt-in WhatsApp bot providing medication reminders, dose tracking, caregiver alerts, and health updates.

3. Eligibility

To use the MintCare Services, you must:

  • Be at least 18 years of age.
  • Be a resident of Kenya or Uganda, or be otherwise eligible to access services in these jurisdictions.
  • Have a valid mobile phone number for account registration and verification.
  • Have the legal capacity to enter into a binding agreement.

Dependants under 18 may be added to a family health plan by their parent or legal guardian, who assumes full responsibility for managing the dependant's account and health data.

4. Account Registration

When registering for a MintCare account, you agree to the following:

  • Accurate Information: You must provide accurate, current, and complete information during registration, including your full name, phone number, date of birth, and any other requested details.
  • Phone and PIN Authentication: Your account is secured with your mobile phone number and a personal identification number (PIN). You are responsible for maintaining the confidentiality of your PIN.
  • Account Security: You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
  • One Account Per Person: Each individual may only maintain one MintCare account. Creating multiple accounts may result in suspension or termination.
  • KYC Verification: You may be required to complete Know Your Customer (KYC) verification by providing a valid national ID or passport to access certain features of the platform.

5. Health Wallet and Financial Services

MintCare provides a digital health wallet and investment features subject to the following terms:

Wallet Services

  • Your wallet supports deposits and payments in KES (Kenya) and UGX (Uganda).
  • Deposits may be made via M-Pesa (Kenya) and other supported payment methods.
  • Wallet balances are held in trust and are not covered by deposit insurance.
  • We reserve the right to place limits on deposits, withdrawals, and transfers.

MMF Investments

  • Investment returns (including Britam MMF at approximately 11.5%) are not guaranteed and may fluctuate based on market conditions.
  • Past performance is not indicative of future results.
  • MintCare does not provide personalized financial, investment, or tax advice.
  • Investment decisions are made at your own risk.

Custodial Arrangements

  • Kenbright Holdings acts as the administrator of MintCare wallets and investment accounts. Kenbright is not a custodian of your funds.
  • Diamond Trust Bank (DTB) serves as the CMA-approved custodian holding all Money Market Fund cash assets.
  • Fund management is conducted by licensed and regulated fund managers.

Investment Risk Disclosure

All investments carry risk. The value of your investments can go down as well as up, and you may receive back less than you invest. MintCare and Kenbright Holdings are not liable for any investment losses. Consult a qualified financial advisor before making investment decisions.

6. WhatsApp Messaging Service

Our WhatsApp Health Companion is an opt-in service that provides:

  • Medication Reminders: Scheduled messages reminding you to take your medications at prescribed times.
  • Dose Tracking: Recording your dose confirmations and maintaining adherence history and streak data.
  • Caregiver Alerts: Notifying your linked caregivers if you miss doses beyond the configured escalation window.
  • Health Updates: Sharing vitals summaries, adherence reports, and wellness information based on your health profile.

By opting into the WhatsApp service, you consent to receiving messages from MintCare on your WhatsApp number. Standard messaging and data rates from your mobile carrier may apply.

Opt-Out at Any Time

You can stop receiving WhatsApp messages at any time by sending STOP to our WhatsApp number or by updating your messaging preferences in your account settings. Opting out of WhatsApp messages does not affect your access to other MintCare Services.

7. Healthcare Information Disclaimer

MintCare provides health management tools and information for general wellness purposes. Please be aware of the following:

  • Not Medical Advice: The information provided through our Services, including medication tracking tools, health data summaries, and wellness content, is for informational purposes only and does not constitute medical advice, diagnosis, or treatment.
  • Consult Your Healthcare Provider: Always seek the advice of your physician or other qualified healthcare provider with any questions regarding a medical condition or treatment. Never disregard professional medical advice or delay seeking it because of information provided through MintCare.
  • Cost Estimates Are Approximate: Hospital cost estimates, SHA coverage calculations, and benchmark pricing data provided through our platform are approximations based on available data. Actual costs may vary significantly based on the specific treatment, hospital, and individual circumstances.
  • Emergency Situations: MintCare is not an emergency medical service. In case of a medical emergency, contact your local emergency services immediately.

8. Insurance Services

MintCare facilitates connections between users and insurance providers. Please understand the following:

  • Facilitator, Not Insurer: MintCare is not an insurance company and does not underwrite, issue, or guarantee any insurance policies. We facilitate linking to licensed insurance providers such as Britam, CIC, Jubilee, and others.
  • Insurance Terms: All insurance products are subject to the terms, conditions, and exclusions of the respective insurance provider. MintCare is not responsible for claim denials, coverage disputes, or other matters between you and your insurer.
  • SHA Coverage Estimates: Social Health Authority (SHA) coverage estimates provided through our platform are approximate and based on publicly available information. Actual coverage may differ based on your specific SHA enrollment status and the treating facility.
  • Brokerage Services: Insurance brokerage and advisory services are provided by Kenbright Holdings in its capacity as a licensed insurance broker, not through the MintCare platform itself.

9. User Conduct

When using MintCare, you agree not to:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose.
  • Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation.
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or our systems and networks.
  • Submit false, misleading, or inaccurate information, including fabricated health data, cost reports, or KYC documents.
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
  • Use automated means (bots, scrapers, or similar tools) to access the Services without our prior written consent.
  • Attempt to reverse engineer, decompile, or disassemble any aspect of the Services.
  • Upload or transmit viruses, malware, or other harmful code.
  • Harass, abuse, or harm other users, caregivers, or healthcare providers through the platform.

Violation of these rules may result in immediate suspension or termination of your account, and we reserve the right to report unlawful activity to the relevant authorities.

10. Intellectual Property

All content, features, and functionality of the MintCare platform are owned by Kenbright Holdings Limited and are protected by applicable intellectual property laws:

  • The MintCare name, logo, and branding are trademarks of Kenbright Holdings Limited.
  • All software, text, graphics, designs, data compilations, and other content on the platform are our proprietary property or that of our licensors.
  • You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the platform without our prior written permission.
  • Health data you submit remains your personal data, subject to our Privacy Policy. However, aggregated, anonymized data derived from user contributions (such as community cost reports and benchmark pricing) may be used by MintCare to improve the Services.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • As-Is Basis:The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Investment Losses: MintCare and Kenbright Holdings shall not be liable for any losses, damages, or diminished returns arising from your investment decisions or market fluctuations affecting MMF investments.
  • Medical Outcomes: We are not liable for any health outcomes, medical decisions, or consequences arising from your use of the health management tools, medication tracking features, or any information provided through the Services.
  • Service Interruptions: We do not guarantee uninterrupted or error-free operation of the Services. We shall not be liable for any loss or damage resulting from service outages, technical failures, or scheduled maintenance.
  • Third-Party Services: We are not responsible for the actions, products, or services of third parties accessed through our platform, including insurance providers, healthcare facilities, and financial institutions.
  • Limitation Cap: In no event shall our total liability to you for all claims arising from or related to the Services exceed the amount you have paid to MintCare in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kenbright Holdings Limited, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any inaccurate, misleading, or false information you provide through the platform; or (e) your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe:

  • Violates these Terms or any applicable law or regulation.
  • Is harmful to other users, third parties, or the integrity of the Services.
  • Involves fraudulent, deceptive, or illegal activity.
  • Poses a security risk to the platform or its users.

You may terminate your account at any time by contacting our support team. Upon termination:

  • Your right to access and use the Services will immediately cease.
  • Any outstanding wallet balances will be returned to you, subject to applicable regulations and processing timelines.
  • Investment holdings will be liquidated and returned in accordance with the fund manager's redemption policies.
  • Your personal data will be handled in accordance with our Privacy Policy and applicable data retention laws.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

For users in Uganda, disputes may also be subject to Ugandan consumer protection laws to the extent they provide mandatory protections that cannot be waived by agreement.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our platform with a revised "Last updated" date and, where appropriate, through in-app notifications or email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must stop using the Services and may close your account.
